In my tests, mild to moderate denoising looks pretty similar in both. It's meant to be a drag & drop sort of effect, without modal dialog windows. The process moves out of GPU to CPU as you ask for more denoising, but still runs pretty quickly. One big benefit of Denoiser III is that the process will run on the GPU for light denoising. Denoiser III still cannot seem to rescue "almost unusable" video. Apples to apples, you'll generally see that Neat can do a deeper "hail mary" restoration of a truly noisy video. If your footage is truly almost beyond repair, it can do a pretty good job restoring the video from the noise. However, Denoiser III added GPU acceleration and a new motion vector analysis to its algorithm.
Most of the reviews written that compare Denoiser to Neat were written for Denoiser II. There are few documented tests between the two, so I'll have to assume those that have commented here have tried both. I can't say for sure if that's "just what people say" or that all of those people have genuinely downloaded and tried both.
